The Aotearoa New Zealand Shareholders' Association (ANZSA) approaches you for help. There appears to be confusion among ANZSA members about when they may apply to the court for a derivative action and when they may claim prejudice.

Make a plain language guide for ANZSA members which explain the key differences between the two actions and when they may be used with reference to NZ Law( ie companies act 1993)
